Transactional Related
- Capital table and pre-deal corporate structuring.
- Advising on instruments, fund raise structures such as equity, debt, quasi-debt and other hybrid structures.
- Conducting legal due diligence (for investors) or vendor legal due diligence (for corporates).
- Drafting and/or review of various transaction documents such as term sheets, share purchase agreements, share subscription agreements, shareholders’ agreements, debenture subscription agreements, business transfer/slump sale agreements, joint venture agreements, power of attorney, promoter employment agreements, side letters, director appointment agreements, non-compete and non-solicitation agreements, escrow agreements.

She has represented both companies and investors in various marquee deals across stages of seed, angel and institutional rounds of equity as well as venture debt investment. Having the combined exposure of being an in-house counsel and thereafter being associated with mid-tier firms in the PE/VC space, Sohini is uniquely positioned to understand and advise on various general corporate and strategic matters, startup matters, contractual matters, risk assessment and corporate arbitration and mediation matters.
